Bylaws

We will be voting on these bylaws over the next few meetings.  We have not adopted them yet so if you have any input feel free to email us.

 

CARTER COUNTY YOUNG REPUBLICAN CLUB

CONSTITUTION

 

ARTICLE I - NAME

The name of the organization shall be the Carter County Young Republican Club, hereinafter referred to as CCYRC.

ARTICLE II - OBJECTIVES

The objectives of this organization shall be:

To develop and maintain a Young Republican organization in Carter County;

To foster awareness and allegiance to Republican principles, objectives and platform of government and public service;

To work for the election of all duly nominated Republican candidates.

To bring young people into the Republican Party, to provide opportunity to them for political expression and recognition, to train them as political workers, and to provide a practical means by which they may contribute in the development and betterment of the Republican Party;

To network with other Young Republican clubs for the mutual benefit of the Young Republicans as a political force.

ARTICLE III - MEMBERSHIP

Membership shall be considered Annual from January 1 - December 31.

Section 1. Active

Any legal resident of Carter County between the ages of eighteen and forty years, inclusive, who is citizen of the United States, being a registered voter in the Republican Party, who shall adhere to the purposes and objectives of CCYRC as expressed herein, shall be eligible for membership.

Section 2. Associate

Any person not eligible for membership, as per Article III, Section 1 of the Constitution, may be voted Associate Members. Associate Members shall not be eligible to vote on any matter before the CCYRC. Associate Members cannot hold an elective office or an appointed office in the CCYRC. Associate Members may be appointed to a committee but cannot chair the committee.

Section 3. Dues

Annual dues for active membership shall be $25.00 per person; annual dues for associate members shall be $15.00 per person.

If an active member pays dues after March 31, their dues for the current calendar year shall be prorated as follows: $20.00 if paid in April, May or June; $15.00 if paid in July, August, or September; $10.00 if paid in October, November or December.

If a married couple joins a discount of $10.00 per couple will be taken off the total dues.

Annual dues are due by January 31.

Section 4 - Members in Good Standing

Members in good standing shall be active members who have paid dues for the current year.

Section 5 - Eligibility to Vote as a New Member

Any member in good standing shall be eligible to vote on any matter coming before the CCYRC, except that newly admitted members and inactive members paying their dues to become members in good standing, shall not be eligible to vote until the meeting next succeeding their admission to membership.

ARTICLE IV - DISCIPLINARY MEASURES

Section 1 - Expulsion

The membership may, by two-thirds (2/3) vote of those members present at a regular meeting, having established quorum, expel from the club any member for any act or conduct deemed unfriendly or hostile to the best interests of the club, provided that the Executive Board has reviewed such proposed action and has made recommendation, and that such member has been notified by certified mail of the recommendation of the executive committee at least one (1) week prior to the meeting, and said member will have right to present his defense, either by himself or through a representative. Notice of the charges against the member and the recommendation of the executive committee must include in the call of the meeting, and must be received by the membership at least seventy-two (72) hours prior to the beginning of the meeting.

Section 2 - Censure

Censured members will lose voting privileges, cannot chair committees, and/or will relinquish elected office for the remainder of their elected term.

Section 3 - Additional Measures

Expulsion and censure are the only disciplinary options available to the Executive Board and the general membership.

ARTICLE V - ELECTED OFFICERS

Section 1 - Designation

The elected officers of the club shall be the Chairman, First Vice Chairman, Second Vice Chairman, Secretary, Treasurer, and Public Relations. All elected officers shall hold office from the Annual Meeting until their successors take office. No elected officer may serve more than two consecutive terms in the same office; such officers shall only be allowed to seek additional terms by a 4/5 vote of the members present at the Annual Meeting. Elected officers shall serve without compensation and must be active members in good standing. This term limit will go into effect beginning in January 2005, any office held before that time will not count toward the two consecutive terms.

Section 2 - Vacancies

A vacancy in an elective office shall be filled by means of an election of the membership if more than six months of the un-expired term remain. If fewer than six months remain, the vacancy shall be filled by an election of the Executive Board.

Section 3 - Upon vacating office you must turn all paper work over to your successor within fourteen (14) days.

ARTICLE VI - OFFICERS POWERS/DUTIES

Section 1 - Chairman

The Chairman shall preside at all Club functions and shall be the chief executive officer of the Club. The president shall have the power to appoint all chairpersons. The Chairman shall have the power to remove committee chairpersons, with the approval of the Executive Board. The Chairman shall supervise the activities of the club, and perform all other duties incidental to the office. The Chairman will be listed as a signer on a two (2)-signature checking account.

Section 2 - First Vice Chairman

The First Vice Chairman shall preside in the absence of the Chairman and perform other duties as designated by the Chairman. This Vice Chairman will be in a liaison between the Executive Board and all Committee’s. Event Coordinator working with the Hospitality Committee and Speakers and Programs Committee being a member of each as well as Special Committees assigned to Events.

Section 3 - Second Vice Chairman

The Second Vice Chairman shall reside in the absence of the First Vice Chairman and the Chairman and perform other duties as designated by the Chairman. This Vice Chairman will be in charge of Candidate Support and Community Service Activities. Will be a member of the Community Service Committee and Election Committee. Will be a signer on a (2) two-person checking account.

Section 4 - Treasurer

The Treasure shall collect and disburse all funds as directed by the Executive Board, deposit such funds in a depository designed by the Executive Board and shall keep account thereof open to inspection at all times. The Treasure shall submit a report consisting of monthly receipts, disbursements, beginning and ending balances of the CCYRC treasury at each meeting and at the Executive Board meeting. The Treasure shall submit an annual written report to the Executive Board in January for the previous year. The Treasure shall be a member of the Finance Committee and perform such other duties as designated by the Chairman. The Treasure will be listed as a signer on a two (2)-signature checking account. The Treasure will submit a written monthly account by email of all transactions to the Webmaster 1 week before the next regular meeting. The Treasure shall maintain a list of members of the CCYRC who have paid their current annual dues members whose names appear thereon shall be CCYRC members in good standing.

Section 5 - Secretary

The Secretary shall be responsible for taking minutes at all meetings of the club and the Executive Board meetings and shall submit a copy of said minutes to the Executive Board and Webmaster by one (1) week following the meeting. The Secretary shall be responsible for all Club correspondence including announcements and/or written notices. The Secretary will be responsible for maintaining a membership roster. The Secretary shall perform other secretarial duties as directed by the Chairman. The Secretary is to keep a file or folder with adopted resolutions.

Section 6- Public Relations

Will prepare all public service announcements for all club meetings, and special events. Will work in conjunction with the executive committee to ensure that all Public Service Announcements are met in a timely fashion.

ARTICLE VII- EXECUTIVE BOARD

Section 1 - Duties

The Executive Board shall consist of the elected officers of the club and the Immediate Past Chairman, and shall oversee the management of all club activities, subject to the approval of the membership.

Section 2 - Meetings

The Executive Board meetings shall be held at such times and places as the Executive Board shall decide with notice to all members. A majority of the members of the executive committee shall constitute a quorum. There shall be no voting by proxy at meetings of the Executive Committee.

Section 3 - Attendance

Any member of the Executive Board who misses three (3) consecutive meetings of the executive committee, and does not show cause acceptable to a majority of the elected officers within a period of fifteen (15) days following notification by the secretary, shall be considered to have resigned from their position. The individual in question shall not be allowed to vote on this matter.

Section 4 Electronic Communications

Electronic Communications shall be an acceptable form of conducting business of the executive board, with quorum established. There must be a notice of (5) five days via email for the member to respond to email meeting agenda items.  A notice of (3) three days shall be given to meet on instant electronic communications forums for an electronic meeting.

ARTICLE VIII - STANDING COMMITTEES

Section 1 - Appointments

Upon taking office, the Chairman shall appoint chairman of standing committees, as provided herein. The committee chairman shall appoint their own committee members. The Chairman invites any standing committee member to attend and report at Executive Board meetings.

Section 2 - Standing Committees

Speakers and Programs - The membership will give recommendations for speakers to the Executive Board for club meetings and events. After the speaker is selected at the Executive Board meeting this committee may be asked to contact the Speaker(s) to make arrangements for them to speak at the event or club meeting.

Membership - The membership Committee shall be responsible for actively recruiting new members for the club.

Website - The Website Committee shall be responsible for maintaining the club website, emails, and email lists.

Hospitality - The members of this committee serve as the "official hosts and hostesses" of club events. Members of the Hospitality Committee are responsible for the selection; publicity and presentation of club sponsored events, and event planning.

Community Service Committee - This Committee will be in charge of Community Service involvement such as Voter Registration Drives.

Election Committee - This Committee will be in charge of items related to helping our Republican Candidates in seeking public office.

Section 3 - Special Committees

The Chairman may set up Special Committees as necessary that serve at the Chairman’s pleasure.

ARTICLE IX - MEETINGS

Section 1 - Regular Meetings

The Regular meeting of the Club shall be held at 7:00 p.m. on the second Friday of each month, the location will be decided by the Executive Board and will be provided to the general membership at least seventy-two (72) hours prior to the meeting. The Executive Committee, provided that they give notice at prior meeting, may change the day of upcoming monthly meeting.

Section 2 - Special Meetings

Special Meetings may be called by the Chairman or by the Secretary upon the written petition of 10% of members in good standing. The purpose of any special meeting shall be clearly stated in the meeting notice and no other business may be transacted.

Section 3 - Quorum

A quorum shall consist of three Executive Board members and 10% of active membership.

ARTICLE X - ELECTIONS

Section 1 - Election Meeting

The election of officers shall be held at the December Meeting and officers-elect shall take office at the January Meeting.

Section 2 - Nominations

At the October meeting the Chairman shall appoint a Nominating Committee, consisting of three active members. Nominations will be taken at the November Meeting. The Nomination Committee will give a list of valid candidates at the beginning of the December Meeting, at which time the Chairman will call for nominations from the floor. All persons nominated from the floor at the December Meeting, will have qualifications verified by the committee prior to the election. Only active members may nominate candidates for office.

Section 3 - Elections

Voting in all contested races shall be by secret ballot. No proxies shall be allowed. A simple majority of the votes cast shall be necessary for election. Fifty (50) percent plus one of the votes cast shall constitute a majority for election. If a majority is not reached on the first ballot, the candidate receiving the fewest votes will be eliminated from the ballot until a (50) fifty percent plus one (1) is reached.

Section 4- Tellers

The meeting Chairman shall appoint at least three (3) tellers who shall dispense, collect, and tabulate the ballots. The tellers shall not be candidates for any elected club office.

ARTICLE XI - CANDIDATE ENDORSEMENT

Section 1 - Prohibitions

Neither the Club nor the Executive Board as a whole, nor any officers, shall in any way endorse the candidacy of any Republican officeholder or candidate prior to the Primary Election unless said member is a filed candidate for office or the candidate is a parent, spouse or sibling of the Member, at which time they can endorse but not as a official of the club.

Section 2 - Penalty

Violation of Section 1 of this Article by the Executive Board as a whole, or any officer, shall constitute grounds for disciplinary measures as outlined in Article IV.

ARTICLE XII - STATE AFFILIATION

The Club is a member of the Kentucky Young Republicans Federation, and shall be subject to the Constitution and bylaws of that organization.

 ARTICLE XIII - PARLIAMENTARY PROVISIONS

Robert’s Rules of Order, Revised, shall govern all proceedings except where inconsistent with the Constitution and Bylaws of the Club.

ARTICLE XIV - AMENDMENTS

Section 1 - Submitting

A proposed amendment to this constitution shall be submitted in writing by five active members to the Secretary, at any regular meeting, at which time it shall be read to the members. The proposed amendment will be voted upon at the following regular meeting.

Section 2 - Adoption

Having established quorum, amendments to this Constitution shall be accepted upon a two-thirds (2/3) vote.

ARTICLE XV - RESOLUTIONS

Section 1 - Submission

Any member in good standing may bring forth a written statement of some conviction that they feel the club should share. Such a resolution should be presented in writing at a regular meeting of the club.

Section 2 - Adoption

Resolutions shall be adopted by a two-thirds (2/3) vote of the active members in good standing presented at any regular meeting of the club. These resolutions are to be kept in the permanent files maintained by the secretary.
